Vendor Terms and Conditions Effective Date: 01-01-2025 Last Updated: 01-08-2025 These Vendor Terms and Conditions (“Terms”) form a legal agreement between ZipChat Technologies (“we,” “our,” or “ZipChat”) and any individual or company (“Vendor,” “Partner,” or “You”) who registers or collaborates with us to sell, distribute, promote, or use ZipChat’s services and products. By registering as a Vendor or Partner on ZipChat.in, you agree to these Terms. 1. Definitions Vendor / Partner: Any individual, reseller, distributor, or agency authorized to promote or sell ZipChat services. Products / Services: ZipChat’s chatbot automation platform, communication APIs, and other related tools. End User / Client: Any customer acquired by the Vendor for using ZipChat’s Services. 2. Vendor Eligibility To become a Vendor or Partner, you must: Be at least 18 years of age (or a registered business entity). Provide accurate business details and valid contact information. Accept these Terms and maintain compliance throughout the partnership. ZipChat reserves the right to approve or reject vendor applications at its sole discretion. 3. Vendor Responsibilities As a Vendor, you agree to: Represent ZipChat’s brand and services truthfully and professionally. Avoid making false claims, exaggerated statements, or misleading promises. Comply with all applicable local, national, and international laws, including data protection and communication regulations. Ensure all promotional materials and pricing follow ZipChat’s approved guidelines. Provide accurate customer details for account setup and support purposes. 4. Commission and Payments Vendors may earn commissions or revenue shares as defined in their individual vendor agreement or dashboard. Payments will be made via the preferred mode (e.g., bank transfer, UPI) after verifying transactions. Any refunds, cancellations, or chargebacks from customers may result in commission adjustments. ZipChat reserves the right to modify commission structures with prior notice. 5. Pricing and Discounts Vendors must adhere to the pricing, packages, and discounts approved by ZipChat. Unauthorized price manipulation, deep discounts, or bundling with unapproved services is prohibited. 6. Intellectual Property ZipChat retains all rights to its software, logos, brand name, and related materials. Vendors are granted limited, non-exclusive permission to use ZipChat’s marketing assets for promotional purposes. Modification or unauthorized use of ZipChat’s intellectual property is strictly prohibited. 7. Confidentiality Vendors must keep all business, client, and pricing information confidential. Sharing ZipChat’s internal documents, API keys, or customer data without authorization is a violation of these Terms. 8. Relationship Between Parties The Vendor is an independent contractor, not an employee, agent, or legal representative of ZipChat. These Terms do not create any joint venture, partnership, or franchise relationship. 9. Customer Ownership and Support Clients acquired by Vendors remain customers of ZipChat. ZipChat reserves the right to directly communicate with clients for support, billing, compliance, or upgrades. Vendors may provide first-level support, but technical support and system access remain under ZipChat’s control. 10. Compliance with Messaging Platform Policies Vendors and their clients must follow the policies of third-party platforms such as WhatsApp, Meta, Telegram, and Instagram. ZipChat is not responsible for account bans, suspensions, or losses resulting from platform violations. 11. Suspension or Termination ZipChat may suspend or terminate a Vendor’s access without notice if: Misuse of brand or false representation occurs. Fraudulent or unethical activities are detected. Violation of these Terms or applicable laws is identified. Upon termination, the Vendor must stop using ZipChat’s name, logo, or marketing materials immediately. 12. Limitation of Liability ZipChat shall not be liable for: Any indirect, consequential, or incidental damages. Loss of business, revenue, or reputation caused by the Vendor’s actions. Platform downtime, third-party restrictions, or technical issues beyond ZipChat’s control. ZipChat’s total liability, if any, will not exceed the commission earned by the Vendor in the last three (3) months. 13. Indemnification The Vendor agrees to indemnify and hold harmless ZipChat, its affiliates, and employees against all claims, losses, or damages arising from: Breach of these Terms, Misrepresentation of ZipChat’s services, or Violation of third-party rights. 14. Modifications ZipChat may revise or update these Terms at any time. Updated terms will be published on our website, and continued participation as a Vendor implies acceptance of the revised Terms. 15. Governing Law and Jurisdiction These Terms shall be governed by and construed in accordance with the laws of India. All disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India. 16.
